Niagara Tech Valley
Terms & Conditions
These Terms & Conditions govern products and services purchased from Niagara Tech Valley (NTV). A product page, approved quotation, order, statement of work or invoice may add product-specific terms. Where those documents conflict, the more specific approved commercial document applies to that scope.

1. Pricing, taxes and payment
All prices are in Canadian dollars unless stated otherwise.
Applicable taxes are extra and are determined by the customer, transaction and applicable tax rules.
Payment terms are those shown on the checkout, quotation, order or invoice.
2. Annual managed services
Hosted with NTV and NTV Support products are annual managed services unless stated otherwise.
Annual service fees are paid for one service term. Renewal requires a renewal order or invoice unless automatic renewal is expressly agreed in writing.
Managed hosting does not transfer ownership of NTV hosting infrastructure to the customer.
3. OWN YOUR BUSINESS licences
OWN YOUR BUSINESS products use a one-time licence model for the approved deployment described on the product page or quotation.
Infrastructure, implementation, migration, data work, training, custom development, integrations and optional annual support are separate unless expressly included.
Customer control and ownership apply to customer data and the approved deployment within the licence scope; third-party, open-source and NTV intellectual-property licences remain in effect.
4. WordPress-WHP
The WordPress-WHP price is for the approved WHP deployment/management licence and related NTV delivery scope.
WordPress itself is open-source software and is not sold or relicensed by NTV.
Commercial themes, plugins, third-party services, hosting infrastructure, migration, design and support are separate unless expressly included.
5. NTV AI Studio
AI Studio is provided by approved quotation and project scope.
AI-assisted content and code require authorized review and customer approval before public or production use.
Third-party AI platforms, APIs and design tools may have separate licence, usage, availability and data-processing terms.
6. Support plans
Support hours are available only during the applicable annual term and do not roll over unless the approved order states otherwise.
Response times are service targets during NTV business hours and are not guaranteed resolution times.
Custom development, major projects and work beyond included hours require separate approval and pricing.
7. Acceptable use and customer responsibilities
Customers must use services lawfully and must not use NTV systems for abuse, unauthorized access, malicious activity, infringement or prohibited content.
Customers are responsible for the accuracy, legality and rights to data, content, software, credentials and materials they provide.
Customers must maintain appropriate access controls and promptly report suspected compromise.
8. Data, backups and security
NTV applies reasonable operational and security controls appropriate to the service scope.
Backup frequency, retention and recovery scope are defined by the product, quotation or managed environment. Backups are intended for recovery and are not a substitute for customer archival requirements unless expressly agreed.
No internet-connected system can be guaranteed completely secure or continuously available.
9. Third-party services and licences
Domains, certificates, cloud providers, payment processors, AI providers, open-source software and other third-party services remain subject to their own terms, licences, pricing and availability.
NTV is not responsible for a third party changing or discontinuing its service, but will provide reasonable assistance within the purchased scope.
10. Suspension and termination
NTV may suspend a service for non-payment, security risk, abuse, unlawful use or material breach after reasonable notice when practical.
At the end of a managed service, data export or handover is performed according to the applicable order and technical feasibility. Third-party and unpaid obligations must be resolved before final handover where applicable.
11. Cancellation and refunds
Because provisioning, licence issuance, configuration and project work may begin immediately, fees become non-refundable once performance has begun, except where required by law or expressly stated in the approved order.
Before performance begins, cancellation may be accepted subject to non-recoverable third-party costs and any work already completed.
12. Intellectual property
Customers retain rights in customer-provided content and data.
NTV retains ownership of its pre-existing tools, methods, documentation frameworks, proprietary code and intellectual property unless an approved agreement expressly assigns specific rights.
Open-source and third-party components remain governed by their applicable licences.
13. Service limitations and liability
Services are provided according to the purchased scope, applicable product description and approved commercial documents.
To the maximum extent permitted by applicable law, NTV is not liable for indirect, incidental, special or consequential loss, or loss caused by customer actions or third-party services outside NTV control.
Any mandatory statutory rights remain unaffected.
14. Confidentiality and privacy
Each party must use reasonable care to protect confidential information received from the other party.
Personal information is handled according to applicable law and the NTV privacy practices applicable to the service.
15. Governing law and language
These terms are governed by the laws applicable in Ontario, Canada, subject to mandatory consumer or local laws that cannot be excluded.
English, French and Arabic versions are provided for customer understanding. Where applicable law requires a particular language version to govern, that law applies; otherwise the version accepted with the applicable order forms part of the agreement.
